1. General Provisions

Who are we?

We are Piața9 – HONEST FOOD SRL – a limited liability company, headquartered in Oradea Municipality, Emanuil Gojdu Square, No. 37, Bihor County, and with a working point in Oradea Municipality, Decebal Blvd., No. 61A, Bihor County, having VAT ID 36973390 and registered with the National Trade Register Office under number J05/127/2017. By browsing our website www.piata9.ro or www.packed.piata9.ro and/or placing an order, you agree to our Terms and Conditions and our Privacy Policy, which we ask you to read and consider before browsing the site or placing an order.

If you do not agree with these Terms and Conditions or with our Privacy Policy, please do not use the above-mentioned websites. Acceptance of the Terms and Conditions is made at the time of creating an Account by you, by selecting the option "I have read and accept the Terms and Conditions" and "I have read and accept the Privacy Policy." Selecting this option indicates that you agree to comply with these terms and conditions, which you have read, understood, and fully accepted. Our company reserves the right to change and update, at any time and without prior notice, the content of the www.piata9.ro platform, as well as the Terms and Conditions or the Privacy Policy. All information used for the description of the Products available on the site (e.g., static/dynamic images/multimedia presentations, etc.) does not represent a contractual obligation on our part, being used exclusively for presentation purposes. The company has the right to cease the sale of any product on the site at any time and cannot guarantee that any product that has been included on the site at a given time will be available at any time in the future.

Definitions

  • Authentication – the operation of entering the email address and a unique password to access the buyer’s/client’s/user’s account.

  • Seller – HONEST FOOD SRL – limited liability company, headquartered in Oradea Municipality, Emanuil Gojdu Square, No. 37, COMMERCIAL SPACE, Block A5, Bihor County, and with a working point in Oradea Municipality, Decebal Blvd., No. 61A, Bihor County, having VAT ID 36973390 and registered with the National Trade Register Office under number J05/127/2017.

  • Buyer / Client / User – any natural person over the age of 18 or legal entity registered on the Site, who, by completing the Account creation process, places an Order on the site.

  • Goods – any product, including the documents and services mentioned in the Order, to be provided by the Seller to the Buyer.

  • Order – an electronic document acting as a form of communication between the Seller and the Buyer, by which the Seller agrees to deliver the Goods and the Buyer agrees to receive these Goods and pay for them.

  • Contract – an Order confirmed by the Seller.

  • Account – the section of the site accessed using the email address and a unique password, allowing the client/buyer to place an order. The Account contains information about the client (name, surname, email), order history, password change option, and logout option. The User is responsible for ensuring that all information entered at registration is correct, complete, and up-to-date.

  • Cart – the section of the Account allowing the Buyer/User to add Products they wish to purchase either immediately or later.

  • Intellectual Property Rights – all intangible rights such as know-how, copyright and related rights, database rights, design rights, model rights, patents, registered trademarks, and domain name registrations for any of the above.

  • Products and Services – any product or service listed on the Site, including those mentioned in the Order, to be provided by the Seller to the Buyer as a result of the Order.

  • Promotions – commercial actions including a limited number of Products with limited stock for a limited period set by the Seller.

  • Site – the domains www.piata9.ro, www.piata9.com, and www.packed.piata9.ro and/or their subdomains.

  • Delivery Fee – the amount the Client owes the Seller as a result of home delivery of the Products ordered through the Site.

  • Transaction – the collection or refund of an amount resulting from the sale of a Product by the Seller using the services of the payment processor agreed by the Seller, regardless of the delivery method.

 

2. Account Creation

Any client, a natural person who has reached the minimum age of 18, or a legal entity, may place an order by creating an account/authenticating into an already created account, by completing the fields available on the website www.piata9.ro or www.packed.piata9.ro.

In order to place an order, the natural person who has reached the age of 18, or the legal entity, will register on the Site by creating an Account, indicating their valid email address, defining a Password, and filling in the required data: first name, last name, account type (individual or company), delivery addresses, payment methods, email, and phone number.

In the case of registered accounts where the client has forgotten the set password, the Client may access the “Forgot password” section. Following this step, the Client will receive a verification code by email and may recover their account by confirming their identity. The next necessary step to complete the process is changing the Account password.

When placing an order on the Site, the Buyer implicitly agrees with the manner in which the Seller will communicate order details (notifications) via email and/or telephone/SMS. The contract is considered concluded at the moment when the Buyer receives the shipment and order confirmation notification sent via email. The Client is solely responsible for the consequences arising from the use of the Site, as well as for any material, intellectual, electronic, or other damages, in accordance with the applicable legislation. The Seller reserves the right to restrict/suspend the Client’s/Buyer’s ability to place orders on the Site if it considers that their actions on the Site could cause any prejudice.

The Seller cannot be held liable in any situation where the Client uses false/incorrect information regarding age or other information provided during the order process to register/authenticate on the Site.

Providing correct and complete delivery details at the time of the order is the exclusive responsibility of the Buyer. The Seller is released from liability for any incident or damage that may result from the failure to enter a correct delivery address or in the event that the Buyer does not have sufficient funds in their account to pay for the order or for payment upon delivery, as applicable.

 

3. Placing an Order

The Client/Buyer can place an online order on the Seller’s Site as follows:

  • Create an account or log in if they already have one;

  • Select the desired product(s) and add them to the “cart” section;

  • If the Buyer opts for products offered through the www.packed.piata9.ro website, they can choose the delivery frequency: “buy once” or “subscribe,” in which case they can opt for:

    • every week

    • every 2 weeks

    • every 3 weeks

    • every month

The Buyer can unsubscribe at any time by accessing this section on the site.

Once a Product is added to the shopping cart, it is available for purchase only if it is still in stock. Adding a Product to the shopping cart, without finalizing the Order, does not imply registering an order, nor does it automatically reserve the Product.

For products offered through www.packed.piata9.ro, the Client can only pay online by card. If they opt for a subscription, the money will be automatically withdrawn from the client’s account before each delivery. If the funds are insufficient and payment cannot be collected, the order will be canceled, and the Client will be informed by email.

For products offered through www.piata9.ro, the Client can choose the payment method: online by card or cash on delivery, and specify if they want an invoice for their order.

On the order page, the client can review the order details: order value, delivery type, delivery time slot, delivery date, and payment method. After submitting the order or after the bank details have been verified by the Payment Processor, the Client will receive an email confirming that the order has been placed, at the email address associated with their account.

The order placement confirmation message does not mean the Seller has accepted the order; it only confirms that the Seller has received the Client’s order. The acceptance of the order will occur later, through the Seller sending the shipping confirmation email. The contract will apply only to those products listed in the shipping confirmation.

Order shipping depends on product availability in the Seller’s stock. If supply difficulties arise or if products are no longer in stock, the Seller has the right to inform the Client about replacing the products with items of equal quality and value in stock. If replacement is not desired and the Client has already paid for the ordered products, the full amount paid will be refunded.

The prices displayed on the Site are informative and may be changed unilaterally by the Seller without affecting a confirmed order.

Prices do not include delivery costs, except for products sold on www.packed.piata9.ro where prices include these costs, with the price displayed on the site being the final price.

By finalizing the Order, the Client confirms that all data provided, necessary for the purchase process, is correct and complete, including the delivery address, and confirms they are at least 18 years old.

Each order placed on the site will be assigned a unique order number, which can be used to track and identify it.

An order placed on www.piata9.ro cannot be modified/canceled from the user account.

A Client can place an order on www.packed.piata9.ro at any time. Orders placed by Wednesday at 23:59 will be delivered on Friday of the same week. Orders placed starting Thursday at 00:00 will be delivered on Friday of the following week, with the client being notified of this via the order confirmation email.

An order placed on www.packed.piata9.ro can be canceled without any extra cost to the client until Wednesday at 23:59 before the Friday scheduled delivery date, and the amounts paid will be refunded to the client within 14 days. An order canceled between Wednesday 23:59 and Friday 06:00 for delivery that Friday will incur a cancellation fee of 50% of the order value, meaning the client will only be refunded 50% of the paid amount within 14 days. An order canceled after Friday 06:00 on the scheduled delivery day will incur a cancellation fee of 100% of the order value, meaning the client will not be refunded the amount already paid. The amounts will be refunded to the Buyer’s account within 14 days only after the order cancellation has been accepted and confirmed by the Seller.

The Christmas Box presented on www.packed.piata9.ro is available for pre-order and can be ordered and paid for by the client, with delivery on either December 23, 2020, or December 24, 2020, depending on the option chosen by the client.

Placing an Order implies the Client’s acceptance of the prices and the description of the Products offered for sale.

Clients are encouraged to read each Product Page displayed on the site for details about each product: weight, ingredients, cooking method, storage instructions, allergens.

The Seller may cancel an Order made by the Buyer, notifying the Buyer without any further obligation for either party or without either party being entitled to claim damages, in the following cases: the Buyer’s issuing bank does not accept the transaction in the case of online payment; the transaction is invalidated by the Seller’s payment processor in the case of online payment; the data provided by the Client/Buyer on the Site is incomplete and/or incorrect; lack of products in stock due to, but not limited to: damaged packaging, quality defects, labeling defects, etc.

If a Product ordered by the Buyer cannot be delivered by the Seller, the Seller will inform the Client/Buyer and refund the value of the Product into the Buyer’s account within a maximum of 14 days from the notification date. Orders not picked up/received within the communicated and confirmed timeframe or on the date and time slot selected when placing the Order will be canceled by the Seller. In this case, the amount paid online will be refunded to the Client within a maximum of 14 days from the cancellation date by the Seller.

 

4. Price and Payment

The price and payment method are specified in each Order. For correct communication of the invoice related to the Order, the Buyer is responsible for updating, whenever necessary, the data in their Account and for accessing the information and documents related to each existing Order in the Account.

By sending the Order, the Buyer agrees to receive invoices also in electronic format, via email, at the address mentioned in their Account. The sale price of the Products is the one in effect at the time of placing the Order, is expressed in LEI (RON), and includes VAT.

The Seller carries out transactions in LEI and will not apply any additional commission or extra fee for transactions related to orders, other than those mentioned in the confirmed order.

At the Buyer’s request, the Seller may issue and send the Buyer the tax invoice for the Order, provided that the Client has supplied the necessary data according to the law for its issuance, and the Seller will issue the invoice in accordance with the data provided by the Client. The physical tax invoice will be delivered to the Buyer along with the order and can only be issued in LEI. The fiscal receipt will be issued for each individual order and will accompany the delivered products.

The Buyer has the following payment methods available for orders placed on the www.piata9.ro site: payment online by bank card or cash on delivery.

The Buyer has the following payment method available for orders placed on the www.packed.piata9.ro site: online payment by bank card prior to delivery.

In the case of online payment by bank card (Visa Classic / Electron, MasterCard, Maestro, Revolut), to complete and validate the payment, the Client is directed to a secure Payment Page. All types of cards issued by Romanian and foreign banks under the VISA and MasterCard brands are accepted, provided they have the online payment option activated.

Clients have the possibility to save their bank card details in the Account section for future transactions. The Seller cannot access Clients’ bank card details and does not store any information regarding the Client’s bank card, as these are processed directly via the secure systems of the online payment service provider and the transaction authorization institution, which will be indicated to the Client before entering the data. The bank card processor agreed by the Seller has the right to access/view any type of data/documents generated following an issued Order, canceled Order, valid Contract, or canceled Contract, to investigate any Transaction, as applicable.

If cash on delivery is chosen, the payment is considered completed at the moment the courier company’s representative collects the amount stated on the payment documents. For card payments, payments are processed via https://stripe.com as the payment processor. The Seller will debit the Client’s current account with the amounts representing the value of the ordered and delivered Products, according to the order confirmation message sent to the Buyer.

In the case of cash on delivery, the Seller will collect the amounts representing the value of the ordered products and the delivery fee through the courier company’s representative, at the moment of delivery.

For online payments, the Seller is not and cannot be held responsible for any other additional costs borne by the Client, including but not limited to commissions applied by the card-issuing bank.

 

5. Delivery of Products

The products ordered by the Client will be delivered via courier to the address indicated by the Buyer according to the order.

The Seller will not be held responsible for the inability to deliver the order; the Client has the obligation to check the accuracy of the information provided regarding the delivery address before validating the order, in case of errors in entering delivery data (street, street number, building, apartment number, floor, contact person, phone number). At the courier’s request, the Client must prove their identity and communicate the order number.

If the Client is unable to receive the order, the order will be left at the specified address only to a person who is at least 18 years old and only upon communicating the order number to the courier. An order cannot be delivered if the Client does not meet the above-mentioned conditions.

The Buyer will select the desired delivery time slot from the options displayed on the site at the time of placing the order.

The Client must ensure that they can receive the order placed on the Site and facilitate the Courier’s access to the location mentioned in the order. If the Courier cannot access the provided address, delivery will not be honored.

Delivery is considered completed by the Seller at the moment the ordered products are handed over to the Client at the address selected by them when validating the order.

If the delivery time slot is exceeded, the Seller or the courier company representative will inform the Client by text message or phone and agree to extend the delivery term for a new period.

The delivery fee will be displayed both at the time of placing the order and after its completion.

 

6. Product Returns

Upon receiving the order, the client is encouraged to ensure that the delivered products meet their quality and quantity expectations.

The Buyer/Client is responsible for the integrity of the products after taking them from the courier, being obliged to store, process, and handle them according to the conditions specified on the site for each product and at the mentioned temperatures. The Seller bears no liability for failure to comply with these requirements.

In the case of a nonconformity that must be demonstrated by the client through any means of proof—photos, witnesses—each Client may request, first of all, the repair of the Product or may request its replacement, in either case free of charge, except where such a measure is impossible or disproportionate. Replacement is possible within the available stock. If the Client has returned a Product due to manufacturing defects and the Seller does not have a suitable replacement product, the Seller will refund the Client the value of the Product within 14 days.

Any notifications or complaints regarding an Order may be submitted by phone at 0747-385686, followed by confirmation via email; or directly by email at contact@piata9.com, and must be accompanied by proof, photos, etc. The Seller will analyze the complaint and communicate a response to the client.

To properly assess the situation, it is mandatory for the Buyer to provide proof of nonconformity (photos, video recordings, etc.). Depending on the severity of the situation, the Seller may decide to refund in full or in part, to the account indicated by the Buyer, the value of the order. In such cases, the Seller’s liability is limited to the value of the order.

The Seller does not accept the return of delivered products that have reached the client.

The Client has the right to request reimbursement of the value of the products in the following situations:

  • The products were delivered/invoiced incorrectly;

  • The products have manufacturing defects;

  • The products do not match the content specified at the time of the Order;

  • The products have quality defects.

 

7. Right of Withdrawal

The products sold by the Seller on the websites www.piata9.ro or www.packed.piata9.ro fall into the category of goods that are likely to deteriorate or expire rapidly. Therefore, in accordance with Article 9 in conjunction with Article 16 letter d) of Government Emergency Ordinance no. 34/2014 on consumer rights in contracts concluded with professionals, as well as for amending and supplementing certain normative acts (“GEO no. 34/2014”), they are exempt from the right of withdrawal mentioned in GEO no. 34/2014.

 

8. Intellectual and Industrial Property Rights

The User/Buyer understands the intellectual property rights and will not disclose to a third party or make public any information received from the Seller. All designs, graphic and design elements that appear on the site, the name of the site, as well as the graphic symbols are registered trademarks owned by Piața9 and may not be copied, taken, or used without the written consent of the owner.

All content elements such as descriptions, drawings, graphic and design elements appearing on the site, including but not limited to logos, stylized representations, commercial symbols, static images, dynamic images, text, and/or multimedia content presented on the site are the exclusive property of Piața9, which reserves all rights obtained directly or indirectly through licenses for use and/or publication.

The User/Buyer is not permitted to copy, distribute, publish, transfer to third parties, modify, or otherwise alter, use, link to, display, include any of the above content in any context other than the one originally intended by Piața9, to include any content outside the Site, to remove markings indicating Piața9’s copyright over the content elements, as well as to participate in the transfer, sale, distribution of materials created by reproducing, modifying, or displaying the content elements, except with Piața9’s express written consent.

 

9. Rights over Site Content

The entire content of the site and the graphic elements, including but not limited to, all text content as well as the technical sources of all present and future services and facilities—except where another owner is expressly mentioned—the source code of the pages, and any other material, transmitted in any form to and by Users (through direct viewing on the site, through newsletters, etc.) belong to Piața9.

The content of the site, regardless of the section where it is located and the type of content, may be used exclusively for personal purposes. Any use of the content by third parties for purposes other than personal can only be done with the written, express, and prior consent of Piața9. Therefore, copying, taking, reproducing, publishing, transmitting, selling, distributing partially, entirely, or modified versions of the content of this site or any part thereof for purposes other than personal is prohibited, with the following exceptions:

  • reproduction (on non-commercial websites, forums, press articles, etc.) of small fragments from published articles (max. 400 characters) is allowed, with the mandatory specification of the source of the information taken, including a link, in the following form: (Source: site name – link to the site content);

  • links to the www.piata9.ro and www.packed.piata9.ro websites are permitted, with the source of the information specified after each link or at the end of the article, as follows: “Information provided courtesy of Piața9 – link to the site content.”

Users undertake to respect all copyright and related rights and any other intellectual property rights that the Site Administrator and its partners hold over/in connection with the www.piata9.ro and www.packed.piata9.ro websites.

Piața9 reserves the right to take legal action against any person and/or entity that infringes in any way the above provisions. Requests to use the site content for purposes other than personal may be made by email to contact@piata9.com, with the specification “To the attention of the agency.”

Any person who transmits or publishes in any way information or materials to the site assumes the obligation not to prejudice in any way the copyright that a third party could claim in relation to the materials and information transmitted in any way to the site, and persons who send information or materials in any way understand and accept that any violation of this obligation does not engage Piața9’s liability in any way, but only the liability of the respective persons.

Piața9 may carry out advertising campaigns and/or promotions in any section of the site at any time, without this operation requiring the Users’ consent. The spaces and dimensions of advertising campaigns and promotions do not require the consent of the Users and may be changed at any time without prior notice.

Piața9 does not assume responsibility for damages or losses resulting from advertising campaigns or promotions organized on the site, other than those organized strictly on the site.

 

10. Limitation of the Site Administrator’s Liability

Piața9 does not assume the obligation and does not implicitly or expressly guarantee the site content, namely for the content provided by its partners or by the Users of the site. However, Piața9 will make all reasonable efforts to ensure the accuracy and professional manner in which the information on the site will be provided, to gain and maintain Users’ trust in the site. In this respect, Piața9 will try to correct as soon as possible any reported errors or omissions.

The site administrator does not offer any guarantees for the content of the site and cannot be held liable in any situation for any loss or damage that could result from the use of any part/sequence/page of the site or from the impossibility of using it, regardless of the cause, or from misinterpretation of any provisions of the site’s content.

The information provided through the site is offered in good faith, from sources considered reliable. If any of the published articles or other information falls under copyright law, Users are asked to contact us at contact@piata9.com so that we can take the necessary measures. Users must also consider that the presented information may include possible inaccuracies (e.g., technical data or typing errors). The site administrator will take all necessary diligence to correct these aspects as soon as possible.

Users understand and accept that Piața9 does not guarantee:

  • that the information entered by the site’s Users is real, correct, and does not assume responsibility for how visitors use it;

  • that the information or services on the site will meet all Users’ requirements, and for improper use of them, Users assume full responsibility;

  • the results obtained by Users from the use of the information or services available through the site, the use of the information and services being at the Users’ own risk;

  • that the services available through the site will operate constantly, uninterrupted, without errors—regarding this aspect, Piața9 does not assume responsibility for possible damages Users may incur due to the temporary or defective operation of the site or for the use of information obtained through links from the site to other sites (their use being at the Users’ discretion).

Users also understand and accept that Piața9 is not responsible for possible inconsistencies, errors, or omissions in the information provided on the site by Users. Likewise, Users understand and accept that Piața9 is absolved of any responsibility for advertising messages posted on the site or through the services offered via the site, as well as for the goods or services provided by the authors of these advertising messages.

In cases of force majeure, Piața9 and/or its operators, directors, employees, branches, subsidiaries, and representatives are fully exempt from any liability. Force majeure cases include, but are not limited to: technical equipment malfunctions of Piața9, failure of the internet connection, failure of telephone connections, computer viruses, unauthorized access to the Site’s systems, operational errors, etc.

Users agree to protect and indemnify Piața9 and/or its operators, directors, employees, branches, subsidiaries, and representatives from and against any claims, demands, actions, liabilities, losses, damages, costs (including, without limitation, attorney’s fees), expenses, judgments, decisions, fines, settlements, or other obligations arising from or related to any other action by Users in connection with the use of the site or the services offered through it.

Piața9 does not provide any warranty, express or implied, regarding, including but not limited to, the operation of the www.piata9.ro and www.packed.piata9.ro websites, the information, content, materials, or products on the site, as well as their suitability for a particular purpose. Users expressly agree that the use of this site and the application of the information is at their own risk.

 

11. Subscription of Users to Newsletters and Alerts

Users of the site have the possibility to receive newsletters and alerts via email, with the option to unsubscribe at any time by clicking the unsubscribe link in the newsletter/alert sent to the email address entered explicitly at the time of subscription.

Since access to the products offered through the site is made via an active account, meaning with a username and password, we recommend that Users do not disclose these elements to third parties, even if they claim to be contacting you on behalf of the site.

Additionally, to ensure a higher level of security, at the end of a visit to the site we recommend closing the browser window in which you were working or clicking on “Sign out”/“Log out” on the visited page.

 

12. Responsibilities

The Seller undertakes to deliver the Goods and Services via door-to-door courier service to the Buyer.

The Seller is released from the risks and responsibilities associated with the Goods and Services at the time of their handover to the domestic courier company with which the Seller collaborates, or to the Buyer’s representative.

The Seller will ensure proper packaging of the Goods and Services and the transmission of accompanying documents.

The Seller cannot be held responsible for any type of damage that the Buyer or any third party may suffer as a result of the Seller fulfilling any of its obligations under the Order, and for damages resulting from the use of the Goods after delivery, especially for the loss of the products. The Seller will not be liable if its subcontractors and/or partners of any kind involved in fulfilling the Order fail to meet any contractual obligations. The Seller does not assume responsibility for the descriptions of the products presented on the site. Images are shown on the site for example purposes, and the delivered products may differ from those shown or described on the site in any way, due to changes in characteristics or design without prior notice.

The Seller reserves the right to complete and modify any information on the site without prior notice.

The Seller does not guarantee the availability in stock of the products displayed, and thus has the right not to deliver partially or entirely a specific order if certain products are no longer in the current offer or available in stock.

If prices or other details related to products have been displayed incorrectly, including due to being entered incorrectly in the database, the Seller reserves the right to cancel delivery of that product and notify the client as soon as possible about the error, if the delivery has not yet taken place.

The Seller is not liable for damages caused by the site not functioning or resulting from the inability to access certain links published on the site.

The maximum value of the Seller’s obligations to any client in the case of non-delivery or improper delivery is the amount received by the Seller from that client.

The products sold on the site are intended for personal use, and their resale is strictly prohibited.

If the package cannot be delivered (the recipient does not answer, the address specified by the Buyer is incorrect, etc.), the Buyer will be contacted by phone by the courier.

We are not liable for delayed shipments, loss, destruction, damage, non-delivery, or misdelivery of a shipment or part of it when caused by the following situations/circumstances beyond our control, including but not limited to:

  • road blockages (fallen trees, rocks, chain collisions), landslides near the road;

  • bridge collapses, mountain tunnel closures, train derailments near the road, natural blockages, unauthorized strikes, spontaneous regional riots, weather conditions preventing safe completion of the planned route;

  • natural causes: earthquakes, natural disasters, devastating storms, tornadoes, wildfires, floods, river overflows, changes in riverbeds, etc.;

  • human causes: state of war, state of siege, forced nationalization, revolutions, popular uprisings, etc.;

  • failure by suppliers and third parties to fulfill orders.

 

13. Transfer of Ownership

Ownership of the Goods will be transferred upon delivery, after payment by the Buyer at the location indicated in the order (delivery meaning the signing of the transport document provided by the courier or signing the tax invoice in the case of deliveries made by the Seller’s staff). In the case of delivery via courier, the courier is not authorized by the Seller to allow the Buyer to open the packages before signing for delivery, but only afterwards, following signature and payment, if applicable.

 

14. Force Majeure

Neither party will be liable for non-fulfillment of its contractual obligations if such non-fulfillment is due to an event of force majeure. Force majeure is an unforeseeable event, beyond the control of the parties, and which cannot be avoided.

 

15. Applicable Law

This contract is subject to Romanian law. Any disputes arising between Piața9 and users/clients/buyers will be resolved amicably, or if this is not possible, the disputes will be settled by the competent Romanian courts at the Seller’s headquarters.
